Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you and Manxz, Inc., doing business as Homespace ("Homespace," "we," "us," or "our"). These Terms govern your access to and use of Homespace, including homespace.co, our web application, our mobile applications, public invoice or estimate pages, public payment pages, recurring-service approval pages, and related services (collectively, the "Service").

By creating an account, accessing the Service, or using any customer-facing pages powered by Homespace, you agree to these Terms. If you use the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms.

1. Description of the Service

Homespace is a field service management platform for service businesses. The Service may allow Users to manage customers, estimates, invoices, jobs, scheduling, recurring services, team members, documents, photos, mobile workflows, and payment collection through integrated third-party services.

Homespace provides software tools. Except for your subscription or other direct commercial relationship with Homespace, we are not a party to the underlying transaction between a Service Provider and that Service Provider's customer. The Service Provider is solely responsible for the services it offers, the prices it charges, the taxes it collects or remits, and the communications, disputes, refunds, injuries, property damage, or other obligations arising from its relationship with its customers.

If you are an End Customer using a public estimate, invoice, payment link, or approval page, these Terms govern only your use of the Homespace-powered page itself. Your purchase or service relationship remains with the relevant Service Provider, not with Homespace.

2. Eligibility

  • You must be at least 18 years old to use the Service.
  • You must have the legal capacity to enter into these Terms.
  • If you use the Service for a business or organization, you must have authority to act on its behalf.
  • You must provide accurate, current, and complete information and keep it reasonably up to date.

Certain features, including payment processing, connected account onboarding, mobile hardware integrations, or app-distribution features, may be available only in supported jurisdictions, devices, or account configurations.

3. Accounts, Security, and Organizations

3.1 Account creation

You may create an account using email and password or, where available, Google sign-in. We may require email verification, phone verification, or other onboarding steps before certain features become available. If you create or join an Organization, that Organization represents your business account within Homespace.

3.2 Account security

  • You are responsible for maintaining the confidentiality of your login credentials and for activity occurring under your account.
  • You must not share credentials outside your Organization or allow unauthorized access to your account.
  • You must notify us promptly at hello@homespace.co if you believe your account has been compromised or used without authorization.

We are not responsible for losses caused by your failure to safeguard your credentials, device, or access to third-party services associated with your account.

3.3 Team members and Organization responsibility

Organization owners and administrators may be able to invite other users to join their Organization, subject to the Organization's current subscription status, plan limits, and role permissions. The Organization is responsible for managing access and permissions for its team members and for activity taken through Organization accounts.

4. Subscription Plans, Trials, and Billing

4.1 Plans and pricing

Homespace may offer one or more subscription plans, billing intervals, feature sets, seat limits, and usage limits. Current plan names, prices, included seats, and features are described in the Service, on our website, or at checkout. Those details are part of your purchase terms when you subscribe.

We may change plans, features, included limits, or pricing from time to time. Unless otherwise stated, changes will apply prospectively. If required by applicable law or if the change is material to your renewal, we will provide notice before the change takes effect.

4.2 Free trials

New or eligible Organizations may receive a free trial. Current trial length, if offered, is generally described in the Service or at signup. If your trial ends and you do not subscribe, we may limit access to paid features until a valid paid subscription is activated.

4.3 Billing and recurring charges

Paid subscriptions are billed in advance on a recurring basis at the interval you select. Payment processing for Homespace subscriptions is handled by Stripe or another payment provider we designate.

By subscribing, you authorize us and our payment processor to charge your selected payment method for recurring subscription fees, taxes, and other amounts you authorize. If payment fails, your subscription may become past due, be suspended, or lose access to some or all paid features until billing is resolved.

4.4 Refunds

Except as required by law or expressly stated otherwise in the Service or in a written agreement with you, subscription fees and other fees paid to Homespace are non-refundable once charged.

4.5 Cancellation

You may cancel your subscription through the billing tools we make available, such as a billing portal, account settings, or by contacting us. Unless otherwise stated at checkout or in the billing flow, cancellation generally applies prospectively and does not undo charges already incurred.

5. Payment Processing and Stripe Connect

5.1 Stripe Connect

Homespace integrates with Stripe Connect and related Stripe services so Service Providers can accept payments from their customers and, where supported, use other billing or payment features. To use payment features, you may need to create or connect a Stripe account and comply with Stripe's terms.

Current Stripe Connected Account terms are available from Stripe, including the Stripe Connected Account Agreement.

5.2 Your relationship with Stripe

Your Stripe account is your own. Homespace facilitates the connection between Stripe and the Service, but Stripe processes payment instrument details and controls the movement of funds through its systems. You are responsible for your Stripe account, including compliance with Stripe's terms, handling disputes and chargebacks, tax obligations, and any obligations related to your customers.

5.3 Platform fee

Homespace currently charges a platform fee on certain payments processed through the Service. Unless we state otherwise in the Service or in a separate written agreement, the current default platform fee is 1% of the payment amount, capped at $10 per transaction. We may change that fee structure prospectively.

5.4 Optional customer fee pass-through

Homespace may offer an optional feature that adds a customer payment fee using our then-current fee calculation displayed in the Service. If you enable that feature, you are solely responsible for ensuring that the fee you charge your customers complies with applicable law, card network rules, and other third-party requirements.

5.5 Refunds, disputes, and chargebacks

Homespace may provide tools that let you initiate refunds or view refund or dispute status, but you remain responsible for the underlying customer relationship, including chargebacks, disputes, refunds, and related communications or losses.

6. User Responsibilities and Acceptable Use

6.1 Lawful use

You may use the Service only for lawful purposes and in compliance with applicable laws, rules, and regulations, including consumer protection, licensing, tax, privacy, payment, and communications laws.

6.2 Accurate information

You are responsible for the accuracy, completeness, and legality of the information and content you submit through the Service, including customer records, pricing, invoices, estimates, communications, schedules, job data, and payment-related data.

6.3 Customer data

You are responsible for making sure you have the right to collect, use, store, and share customer information through the Service and that your use of that information complies with applicable law.

6.4 Prohibited uses

  • Use the Service for illegal, fraudulent, deceptive, abusive, or harmful purposes.
  • Send unlawful, misleading, harassing, or deceptive communications through the Service.
  • Attempt to gain unauthorized access to the Service, another user's account, or related systems.
  • Interfere with or disrupt the Service, its infrastructure, or connected services.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, except to the extent such restriction is prohibited by law.
  • Use unauthorized bots, scrapers, crawlers, or other automated means to access the Service.
  • Use the Service to build or operate a competing product using unauthorized access to Homespace materials or systems.
  • Upload or transmit malware, malicious code, or harmful files.
  • Resell, sublicense, or redistribute the Service except as expressly authorized by Homespace in writing.

7. Intellectual Property

7.1 Homespace property

The Service, including software, interfaces, branding, design, documentation, and related materials, is owned by Manxz, Inc. or its licensors and protected by intellectual property and other laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business use.

7.2 Your content

You retain ownership of the content and data you submit, upload, or store through the Service ("Your Content"). You grant Homespace a limited, non-exclusive license to host, store, reproduce, transmit, display, and otherwise process Your Content solely as reasonably necessary to provide, secure, support, and improve the Service and fulfill your instructions.

This license ends when Your Content is deleted from our active systems, subject to backup copies, legal retention obligations, and rights needed to enforce these Terms or protect the Service.

7.3 Feedback

If you provide feedback, ideas, suggestions, or improvement requests about the Service, you grant Homespace a perpetual, irrevocable, worldwide, royalty-free license to use that feedback without restriction or compensation to you.

8. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect information.

9. Service Availability, Devices, and Third-Party Services

9.1 Availability

We strive to keep the Service available, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, outages, third-party failures, security incidents, network conditions, device limitations, or circumstances beyond our control.

9.2 Changes to the Service

We may modify, add, suspend, or discontinue features, plans, integrations, or parts of the Service at any time. We may also impose or change reasonable usage limits or eligibility requirements.

9.3 Third-party and device dependencies

Some features depend on third-party services, platforms, hardware, browsers, app stores, mobile operating systems, or payment providers. We are not responsible for third-party outages, acts, omissions, policy changes, or device compatibility issues, and your use of those services is subject to their terms.

10. Suspension and Termination

10.1 By you

You may stop using the Service at any time. If you want to end paid billing, cancel your subscription through the billing tools we provide or contact us. If you want to request account closure or deletion, contact hello@homespace.co.

10.2 By Homespace

We may suspend or terminate your access to the Service, in whole or in part, if we reasonably believe you have violated these Terms, failed to pay amounts due, created security or legal risk, abused the Service, or if we are required to do so by law or by a key third-party provider.

10.3 Effect of termination

  • Your right to use the affected part of the Service ends when the suspension or termination takes effect.
  • We may delete, retain, or de-identify information in accordance with our Privacy Policy, legal obligations, operational backup practices, fraud prevention needs, and dispute-resolution requirements.
  • Outstanding amounts you owe to Homespace remain due.
  • We recommend that you use any available download or export tools, or contact us regarding records you need, before account closure or termination is finalized.
  • Sections that by their nature should survive termination will survive, including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and payment obligations already incurred.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

  • We do not warrant that the Service will be uninterrupted, error-free, secure, or compatible with every device, browser, hardware configuration, or third-party service.
  • We do not warrant that data, outputs, calculations, messages, reminders, or results from the Service will always be accurate, complete, timely, or reliable.
  • Homespace is not your contractor, employer, customer, legal advisor, tax advisor, accountant, insurance broker, or financial advisor.
  • You are solely responsible for your business decisions, contracts, customer interactions, legal compliance, taxes, pricing, and the services you provide.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMESPACE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOMESPACE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HOMESPACE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

  • We are not liable for losses caused by third-party payment processors, app stores, browsers, mobile platforms, hardware providers, telecommunications providers, cloud providers, or other third parties.
  • We are not liable for disputes, chargebacks, refunds, injuries, property damage, service quality issues, or other claims between you and your customers or other third parties.
  • We are not liable for unauthorized access resulting from your failure to secure your credentials, devices, or connected third-party accounts.

13. Indemnification

You agree to indemnify, defend, and hold harmless Homespace and its officers, directors, employees, contractors, affiliates, and agents from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Service.
  • Your breach of these Terms.
  • Your violation of applicable law or the rights of another person or entity.
  • Your business operations, customer relationships, services performed, communications sent, or payments received.
  • Your Content, including any allegation that it infringes or misappropriates a third party's rights.

14. Dispute Resolution

14.1 Informal resolution

Before starting a formal proceeding, you agree to contact us at hello@homespace.co and try in good faith to resolve the dispute informally for at least 30 days.

14.2 Binding arbitration

If a dispute cannot be resolved informally, you and Homespace agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be conducted by a single arbitrator in Wilmington, Delaware, unless the parties agree otherwise or the arbitrator permits remote proceedings.

14.3 Class action waiver

YOU AND HOMESPACE AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

14.4 Exceptions

Either party may seek injunctive or equitable relief in a court of competent jurisdiction for actual or threatened infringement, misappropriation, or violation of intellectual property or other proprietary rights.

14.5 Opt-out

You may opt out of the arbitration provision by sending written notice to hello@homespace.co within 30 days after first creating your account. If you opt out, disputes will be resolved in the courts specified in Section 15.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. If arbitration does not apply, exclusive jurisdiction and venue will lie in the state or federal courts located in New Castle County, Delaware, and each party consents to personal jurisdiction there.

16. General Provisions

  • These Terms and the Privacy Policy constitute the entire agreement between you and Homespace regarding the Service, except for any separate written agreement between you and Homespace.
  • If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
  • Our failure to enforce any provision is not a waiver of that provision or any other provision.
  • You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, financing, or by operation of law.
  • We are not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, network failures, outages, labor disputes, government actions, or acts of third-party providers.
  • We may send notices to the email address associated with your account, through the Service, or by other reasonable means. You are responsible for keeping your contact information current.
